Thank you for choosing ChainIDE! We're delighted to have you as a user. Before you access or use ChainIDE, we kindly ask you to review our Terms of Service agreement carefully. We've made every effort to make this essential contract between us and our users as transparent as it can be.
A. Terms of Service ("Terms")

Kindly peruse these Terms of Service ("Terms") with diligence before embarking upon the utilization of ChainIDE's websites and applications, collectively referred to as "the Service," offered by Matrix Global Inc. (“ChainIDE,” "we," "us," or "our").
Your access to and engagement with the Service is contingent upon your acceptance of and adherence to these Terms. These Terms are universally applicable, encompassing all guests, users, and those desiring to partake in the utilization of the Service.
Upon your utilization of the Service, you explicitly concur to be bound by these Terms. Furthermore, your concurrence extends to our Privacy Policy, which can be found at chainide.com and is seamlessly incorporated herein. In the event that you hold reservations about any aspect of these Terms, you are, regretfully, not afforded the privilege to access the Service.
B. Definitions
1. An "Account" refers to the unique identity obtained by a user upon registration on the ChainIDE platform, enabling access to and utilization of the services provided. A "Personal Account" signifies the personal identity authentication information obtained by a user through the registration process, used for logging in and utilizing ChainIDE services.
2. "Agreement" collectively encompasses all the conditions, terms, and notices detailed or referenced within this document (referred to as the "Terms of Service" or the "Terms") along with all other operational guidelines, policies (inclusive of the ChainIDE Privacy Policy), and procedures periodically published on the website.
3. "ChainIDE," "We," and "Us" refer to ChainIDE, Inc., as well as our affiliates, directors, subsidiaries, contractors, licensors, officers, agents, and employees.
C. ChainIDE Studio
ChainIDE Studio encompasses our cloud-based integrated development environment designed for smart contract development across various blockchain platforms, including ChainIDE Code Sage, which is a plugin seamlessly integrating Open AI.
1. Studio Environment: We grant you access to the virtual environment and tools essential for utilizing ChainIDE Studio. All rights to ChainIDE Studio are retained by ChainIDE, and no ownership, intellectual, or other rights are transferred to you. Any attempt to assign, grant, or transfer ChainIDE Studio or its interests to individuals or entities is void.
2. Facility Requirements: You will be responsible for ensuring that your facility meets the minimum requirements for optimal use of ChainIDE Studio.
3. Access and Usage: You must possess the necessary rights, certifications, and licenses for using ChainIDE Studio. You are liable for any misuse or damage to ChainIDE Studio. ChainIDE reserves the right to terminate your access to ChainIDE Studio if you violate these terms related to ChainIDE Studio, including any loss resulting from Code Sage generated output or action, which will not be compensated in any form by ChainIDE. Notice will be provided where practicable.
4. Studio Access: You will provide ChainIDE personnel with prompt and reasonable access to the facility for the delivery, maintenance, and removal of ChainIDE Studio. You are not permitted to impose any conditions on ChainIDE personnel accessing the facility, and any such conditions are void. Only designated ChainIDE personnel are allowed to access, move, or repair ChainIDE Studio.
5. Support Options: You will be required to enroll in the specified support option during your use of ChainIDE Studio.
D. ChainIDE Education
ChainIDE Education is an educational platform based on blockchain and Web3 technology, designed to offer users a comprehensive and systematic Web3 learning experience.
1. Account Responsibility: You will be responsible for maintaining the security of your ChainIDE Education accounts. It is imperative to keep login credentials confidential and to promptly report any unauthorized access to our support team. You should not share your account information and are encouraged to use strong, unique passwords to enhance account security.
2. Code of Conduct: You will be expected to adhere to a respectful and inclusive code of conduct when interacting with the platform, fellow developers, and support personnel. Any disruptive behavior, harassment, or violation of community standards will not be tolerated, and ChainIDE Education reserves the right to take appropriate action.
3. Compliance with Platform Policies: You must comply with the specific policies outlined by ChainIDE Education, including but not limited to terms of service, acceptable use, and intellectual property guidelines. Non-compliance may result in the suspension of account access or other measures deemed appropriate by ChainIDE Education.
4. Ethical Use of Knowledge: You will be encouraged to apply knowledge gained through ChainIDE Education courses ethically and responsibly. The skills acquired should be utilized in a manner that upholds legal and ethical standards. Any misuse of knowledge for malicious purposes is strictly prohibited, and users engaging in such activities may face account suspension or other consequences.
5. Data and Privacy Compliance: You are encouraged to familiarize yourself with our Privacy Policy, outlining how personal data is collected, used, and protected on ChainIDE Education. By using our platform, you implicitly agree to abide by the terms of our Privacy Policy.
E. ChainIDE Marketplace
ChainIDE Marketplace encompasses a variety of smart contract templates and extensions designed to cater to diverse needs within the blockchain development community.
1. Use of the Marketplace: You may use the Marketplace for legitimate purposes related to smart contract development and blockchain technology. Engaging in activities that pose a threat to the security or integrity of the Marketplace, promote illegal or unethical practices, or attempt to interfere with the proper functioning of the Marketplace is strictly prohibited. Additionally, you agree not to engage in any activity that interferes with or disrupts the functioning of the Marketplace.
2. Listings and Transactions: Listings on the Marketplace must be accurate, lawful, and comply with our policies. Users engaging in transactions on the Marketplace must adhere to all applicable laws and regulations.
3. Fees and Payments: Certain services on the Marketplace may be subject to fees, as outlined in our pricing policy. You are responsible for payment of any applicable taxes related to transactions on the Marketplace.
4. Intellectual Property: You retain ownership of your intellectual property rights.[3] By using the Marketplace, you grant ChainIDE a non-exclusive, royalty-free license to use, display, and distribute your content.
F. User Accounts
1. Registration and Management of User Accounts
‧ Account Creation: Users are required to create an account to access certain features of ChainIDE. When registering, users must provide accurate and complete information. It is the user's responsibility to maintain the security and confidentiality of their account credentials.
‧ Account Responsibilities: Users are solely responsible for all activities that occur under their account. They must promptly notify ChainIDE of any unauthorized use or security breach of their account.
‧ Account Modification: Users can update, modify, or delete their account information or deactivate their account at any time, subject to the terms and conditions outlined in our Privacy Policy.
‧ Prohibited Actions: Users must not create multiple accounts with the intention of violating ChainIDE’s policies or engaging in fraudulent activities. ChainIDE reserves the right to suspend or terminate accounts that violate these terms.
2. Account Security
‧ Password Responsibility: Users are accountable for safeguarding their account credentials. Users shall use a secure, unique password and do not share it with others.
‧ Unauthorized Access Reporting: Users shall promptly report any suspected unauthorized account access to ChainIDE for immediate action.
‧ Avoid Phishing Attempts: Users shall be cautious of phishing scams seeking account information. ChainIDE will not request sensitive details via unsecured communication channels.
‧ Account Recovery: Procedures for account recovery due to forgotten passwords or compromised accounts are available through ChainIDE’s designated channels.
‧ User Acknowledgment: While ChainIDE implements security measures, users acknowledge that no method of transmission or storage is entirely foolproof, and they use the platform at their own risk.
3. Account Termination and Deletion
‧ Termination Rights: ChainIDE reserves the right to terminate or suspend any user account if it is found to be in violation of the Terms of Service or engaged in prohibited activities. The decision to terminate an account is at ChainIDE's sole discretion.
‧ User-Requested Deletion: Users can request the deletion of their account. Upon such a request, ChainIDE will deactivate the account and erase the user's personal information, subject to any legal or regulatory obligations for data retention.
‧ Inactive Accounts: ChainIDE may also suspend or terminate inactive accounts. If a user account remains inactive for an extended period, ChainIDE reserves the right to deactivate or delete the account.
‧ Notification of Termination: In the event of an account termination, ChainIDE will make reasonable efforts to provide advance notice to the user, unless such notification is legally prohibited or deemed impractical due to security concerns.
‧ Effect of Termination: Upon termination, users lose access to the services, and all data associated with the account might be removed from the system. Users are responsible for saving any necessary data before the termination of their account.
G. Privacy and Data Collection
1. Information Collection: ChainIDE collects and uses certain information for the provision and improvement of services. This includes user-provided data during account creation and usage data gathered while using the platform.
2. Data Usage: The information collected may be used for account management, service improvement, personalized user experiences, and communication regarding updates and changes in services.
3. Data Protection: ChainIDE is committed to safeguarding user data and employs industry-standard security measures to protect against unauthorized access, alteration, disclosure, or destruction of data.
4. Third-Party Access: ChainIDE may engage third-party services or technologies for data analytics or other operational purposes. Such third parties are bound by confidentiality agreements and are prohibited from using user data for their purposes.
5. User Consent: By using ChainIDE, users agree to the collection, processing, and use of their data as outlined in the Privacy Policy. Users have the right to withdraw consent and request the deletion of their data as per the established procedures.
6. Policy Updates: ChainIDE reserves the right to update the Privacy Policy. Users will be notified of any significant changes, and their continued use of the platform constitutes acceptance of the revised policy.
7. Legal Compliance: ChainIDE operates in compliance with applicable data protection laws. Personal data is treated with confidentiality and in accordance with the relevant legislation.
H. Prohibited Actions
1. Unauthorized Access: Users must not attempt unauthorized access or use of accounts or data.
2. Malicious Activities: Users are prohibited from engaging in any actions that disrupt or damage ChainIDE's functionality, including hacking attempts or cyber-attacks. To maintain the integrity and security of our platforms, employing bots or engaging in data scraping activities is strictly prohibited. Any unauthorized automated access or data extraction from our platforms is a violation of our terms of service and will result in but not limited to account suspension or termination.
3. False Representation: Misrepresenting identity or purpose is strictly prohibited.
4. Legal Compliance: Users must comply with all local, and any applicable laws and regulations while using ChainIDE.
5. Intellectual Property Infringement: Users should not violate the intellectual property rights of ChainIDE or third parties.
I. Prohibited Content
1. Illegal Content: Users must not upload or share content that is unlawful, violates intellectual property rights, or breaches any local and applicable laws.
2. Harmful Material: Content that includes viruses, malware, or any damaging material is strictly forbidden.
3. Offensive Content: Users are prohibited from sharing offensive, abusive, or threatening content, or content promoting hate speech or discrimination.
4. Infringement on Rights: Content violating the rights of others, such as privacy or publicity rights, is not allowed.
J. User Content
1. Ownership: Users retain ownership of the content they submit, upload, or display on ChainIDE. ChainIDE does not claim ownership but requires necessary rights and permissions to host, display, and distribute user-generated content on the platform.
2. Responsibility: Users are solely responsible for the content they upload or share. They must ensure that their content complies with the Terms of Service, including the sections on Prohibited Content and Intellectual Property.
3. Authorized Usage: By uploading content to ChainIDE, users grant the platform a worldwide, non-exclusive, royalty-free license to use, modify, adapt, reproduce, and distribute the content for the purpose of providing and improving the services.
4. Content Moderation: ChainIDE reserves the right to moderate, remove, or refuse to display any user-generated content that violates the Terms of Service, including Prohibited Content or other applicable guidelines.
5. User Representation: By uploading content, users affirm that they have the necessary rights, permissions, and authority to share the content on ChainIDE. Users indemnify ChainIDE against any claims arising from the content they upload.
K. Limitation of Liability
1. Limitation of Liability
‧ Use of Services: Users acknowledge and agree that the use of ChainIDE's services is at their own risk. The platform is provided on an "as is" and "as available" basis without warranties of any kind, either expressed or implied.
‧ Platform Functionality: ChainIDE does not guarantee that the services will be uninterrupted, secure, or error-free. The platform may undergo maintenance, updates, or disruptions beyond its control.
‧ User Responsibility: Users are responsible for the use of the platform and any results or consequences that arise from their actions. ChainIDE is not liable for any direct, indirect, incidental, or consequential damages.
‧ Third-Party Links or Services: ChainIDE may contain links or connections to third-party services or websites. ChainIDE does not endorse, control, or take responsibility for the content, privacy policies, or practices of these third-party services.
‧ Indemnification: Users agree to indemnify and hold ChainIDE, its affiliates, partners, and employees harmless from any claims, losses, damages, liabilities, and expenses arising from their use of the platform or violation of the Terms of Service.
‧ Legal Limitations: In no event shall ChainIDE or its affiliates be liable for any special, incidental, consequential, or indirect damages arising out of the use or inability to use the platform or its services and in no event will ChainIDE’s liability in aggregate, arising from or relating to the Service exceed the greater of: (a) the amount users paid for the Service during the twelve-month period immediately preceding the incident giving rise to that liability; and (b) five hundred United States dollars (US$500.00).
2. Circumstances of Not Assuming Responsibility
‧ Force Majeure: ChainIDE shall not be held responsible for any failure or delay in performance resulting from causes beyond its reasonable control, such as acts of nature, natural disasters, war, or governmental actions.
‧ User Responsibility: ChainIDE is not liable for any damages or losses resulting from the misuse of the platform, breach of security, or failure to comply with the Terms of Service by the user.
‧ Third-Party Actions: ChainIDE is not responsible for the actions, content, or services of third parties, even if accessed through or linked from the ChainIDE platform.
‧ Information Accuracy: ChainIDE does not guarantee the accuracy, completeness, or reliability of any information, content, or materials provided on the platform. Users should verify the information before relying on it.
‧ Service Interruptions: ChainIDE may experience interruptions, errors, or technical issues, and is not liable for any losses or damages arising from such incidents.
‧ Changes to Services: ChainIDE reserves the right to modify, suspend, or discontinue any part of the services at any time without notice and will not be liable for any consequences of such actions.
‧ Deception and Contract Vulnerabilities: ChainIDE shall not be liable for any losses or damages arising from deceptive activities or vulnerabilities in contracts developed on the platform. Users are responsible for conducting thorough testing and due diligence to identify and address potential issues in their contracts.
‧ Financial Loss: ChainIDE disclaims responsibility for any financial losses incurred by users due to the use of the platform. Users are advised to exercise caution and prudence in their financial transactions and understand the risks associated with blockchain development.
‧ No Compensation for Fraudulent Activities: ChainIDE will not provide compensation for losses resulting from fraudulent activities, including but not limited to phishing attacks or scams. Users are urged to remain vigilant and adhere to best security practices to protect their accounts and assets.
‧ User Actions Impacting Platform Security: ChainIDE will not be responsible or liable for losses or damages arising from actions by users that impact the security or functionality of the platform. ChainIDE users must promptly inform the ChainIDE team of any such activities for the team to take appropriate action against the user(s).

1. YOU UNDERSTAND AND AGREE THAT YOUR USE OF CHAINIDE, ITS CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH CHAINIDE IS AT YOUR OWN RISK. CHAINIDE, ITS CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH CHAINIDE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NEITHER THE COMPANY NOR ITS PARENT, SUBSIDIARIES, AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS MAKE ANY WARRANTY, REPRESENTATION, OR ENDORSEMENT WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY, OR AVAILABILITY OF CHAINIDE OR ITS CONTENTS. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ITS PARENT, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS REPRESENT OR WARRANT THAT CHAINIDE, ITS CONTENT, OR ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH CHAINIDE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
3. WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT FILES OR DATA AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR CHAINIDE WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR YOUR USE OF CHAINIDE AND YOUR COMPUTER, INTERNET, AND DATA SECURITY. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DENIAL-OF-SERVICE ATTACK, DISTRIBUTED DENIAL-OF-SERVICE ATTACK, OVERLOADING, FLOODING, MAILBOMBING, OR CRASHING, VIRUSES, TROJAN HORSES, WORMS, LOGIC BOMBS, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF CHAINIDE OR ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH CHAINIDE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
4. WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS, DAMAGE, AND CLAIM RESULTING FROM OR IN CONNECTION WITH, IN ANY WAY, YOUR USE OF CHAINIDE.
M. Governing Law
1. These Terms shall be construed in accordance with and governed by the laws of British Virgin Islands, without regard to its conflict of law provisions.
2. If you access ChainIDE from locations outside of British Virgin Islands, you must assume full responsibility for compliance with your applicable local laws.
N. Changes to the Terms
1. Notice of Modifications: ChainIDE reserves the right to amend, modify, or revise the Terms of Service at its discretion. Users will be notified of such modifications through the platform or via the provided contact information.
2. Effective Date: Any modifications to the Terms of Service will become effective immediately upon posting unless stated otherwise. Continued use of ChainIDE after modifications constitutes acceptance of the revised terms.
3. User Review: Users are encouraged to periodically review the Terms of Service for any updates or modifications. It is the user's responsibility to stay informed about the current terms and conditions.
4. Objection or Disagreement: If a user disagrees with the modified terms, they have the option to discontinue using ChainIDE services and may deactivate their account as per the account deletion procedure outlined in the Privacy Policy.
